§ 1 Scope and contracting party
(1) These General Terms and Conditions (“Terms”) govern use of the software-as-a-service platform MEMNO at the domain where the service is accessible.

(3) MEMNO is primarily aimed at freelancers and self-employed professionals (“users”). If the user is a consumer, statutory consumer protection provisions apply notwithstanding these Terms.
(4) Deviating terms of the user are not accepted unless we expressly agree to their application in writing.
§ 2 Subject matter
(1) MEMNO enables users to document project and order scopes, send confirmation links to end clients, record acceptances/rejections, and generate PDF documents (e.g. order confirmation, invoice).
(2) We undertake to provide the platform in its respective current version. We do not guarantee any particular economic success, legal effectiveness vis-à-vis end clients, or tax/legal correctness of content generated by the user. MEMNO does not replace legal, tax, or accounting advice.
(3) Features may be developed further, changed, or discontinued, provided this is reasonable for the user and does not cause disproportionate disadvantage.
§ 3 Registration and account
(1) Use requires registration with truthful information. Access credentials must be kept confidential.
(2) The user is responsible for all activities under their account, insofar as they are liable for them.
(3) Minors may use the service only with the consent of their legal guardians.
§ 4 Usage models and fees
(1) MEMNO may be offered in different plans, in particular:
- Free: limited number of free orders per account (currently 3 orders in total, unless otherwise indicated).
- Pro: monthly subscription with unlimited order creation (currently EUR 15.00 per month).
- One-time purchase: one-time unlock of an additional order (currently EUR 2.99).
(2) All fees are final prices. Domenic Wehkamp is a small business within the meaning of § 19 German VAT Act (UStG); no VAT is charged or shown.
(3) The prices displayed in the checkout process are decisive. Payments are processed via the service provider Stripe.
(4) For subscriptions, the contract automatically renews for the respective billing period unless cancelled.
§ 5 Conclusion of contract
(1) Presentation of the service on the website does not constitute a binding offer.
(2) For paid plans, the contract is concluded upon completion of Stripe checkout and our activation.
(3) For free registration, the user agreement is concluded upon confirmation of registration.
§ 6 User obligations
The user undertakes in particular:
- not to post unlawful, misleading, or rights-infringing content;
- to process end-client data only with a valid legal basis;
- to maintain and verify information used in invoices and order documents;
- not to misuse the service (e.g. no automated attacks, no probing of third-party data);
- to comply with applicable law, in particular unfair competition law (UWG), GDPR, and copyright law.
§ 7 Availability and support
(1) We strive for high availability but do not guarantee uninterrupted operation. Maintenance windows and force majeure may cause outages.
(2) Support — where offered — is provided by email at info@memno.com.
§ 8 Term and termination
(1) The free account may be terminated at any time by requesting deletion or ceasing use.
(2) Pro subscriptions may be cancelled by the user at any time effective at the end of the current billing period via the Stripe customer portal or the cancellation options offered there.
(3) The right to extraordinary termination for good cause remains unaffected.
(4) After the contract ends, we may delete account data after statutory retention periods expire.
§ 9 Right of withdrawal for consumers
(1) If the user is a consumer, they have a statutory right of withdrawal.

You have the right to withdraw from this contract within fourteen days without giving reasons. The period begins upon conclusion of the contract.
To exercise your right of withdrawal, you must inform us (Domenic Wehkamp, info@memno.com) by means of a clear statement (e.g. email).
Early expiry
The right of withdrawal expires for digital content if we have begun performance of the contract after you have expressly agreed that we may begin before expiry of the withdrawal period and you have confirmed your knowledge of the expiry of the right of withdrawal (§ 356(5) German Civil Code (BGB)).
(2) For registration for digital services, early performance from the first login may be relevant. Adjust the registration flow if necessary (checkbox).
§ 10 Liability
(1) We are liable without limitation for intent and gross negligence as well as for injury to life, body, or health.
(2) In cases of slight negligence, we are liable only for breach of essential contractual obligations (cardinal duties), limited to typical, foreseeable damage.
(3) The user is themselves liable for content they create, invoices to end clients, and their tax treatment.
(4) Mandatory statutory liability (e.g. under product liability law) remains unaffected.
§ 11 Privacy
Information on the processing of personal data can be found in our Privacy Policy.
§ 12 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the user is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction is our registered office, where permitted.
(3) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
